John C. Wilcox is Chairman of Sodali Ltd, an international consultancy providing companies and boards of directors with advice and services relating to corporate governance, institutional investor relations, shareholder engagement and strategic cross-border transactions.

From 2005 to 2008 he served as Senior Vice President and Head of Corporate Governance at TIAA-CREF, one of the world’s largest private pension systems. Prior to joining TIAA-CREF he was chairman of Georgeson & Company, the U.S. proxy and investor relations firm.  During his career he has specialized in corporate governance, capital markets regulation, director education, corporate control transactions and investor communication, combining working knowledge of both corporate and shareholder perspectives.

Mr. Wilcox has been an active member of many boards and professional groups, including:  The Committee for Economic Development Board of Trustees; The Conference Board Global Corporate Governance Center Advisory Board; the International Corporate Governance Network Board of Governors; the National Association of Corporate Directors Blue Ribbon Commission on Board Communication with Shareholders; the Weinberg Corporate Governance Center Advisory Board; NYSE Euronext International Advisory Committee; Nasdaq Issuer Affairs Committee; Aspen Institute Corporate Values Strategy Group; the American Society of Corporate Secretaries and Governance Professionals; the National Investor Relations Institute; the Woodrow Wilson National Fellowship Foundation Board of Trustees; The Wall Street Lawyer Editorial Board; the American Bar Association Committee on Corporate Laws.

He is the author of treatises on corporate governance and securities regulation, director responsibility, shareholder activism, takeovers and contests for control. He has written comment letters and testified before the Securities and Exchange Commission, the European Commission and many other financial markets regulators around the world. His articles have appeared in the Financial Times, The New York Times, Directors & Boards, The American Lawyer, Insights, Pensions & Investments, the New York Law Journal, the Corporate Governance Advisor, the Journal of Law and Contemporary Problems, Wall Street Lawyer, the Harvard Law School Forum on Corporate Governance and Financial Regulation and other professional publications and blogs. He frequently serves on the faculty of director education programs in the U.S. and globally.

Mr. Wilcox received a B.A. from Harvard College, where he was a member of Phi Beta Kappa, an M.A. from the University of California, Berkeley, where he studied as a Woodrow Wilson Fellow, a J.D. from Harvard Law School and an LL.M degree from New York University Graduate School of Law. He is a member of the American and New York Bar Associations.
